Terms of Use & Confidentiality Agreement

1. Ownership
ALFIntake, including its software, source code, design, screens, layouts, workflows, feature set, reports, AI features, documentation and all related ideas and know-how (together, the "Software"), is the exclusive confidential and proprietary property of ALFIntake and Falcon Marketing ("we", "us"). It is protected by copyright, trade secret, trademark and other laws. You receive only a limited, revocable, non-transferable right to use the Software for your organization's internal work while your account is active.
2. Confidentiality
Everything you see inside the Software is confidential information. You agree not to disclose, publish, show, demonstrate or describe the Software, its features or workflows to anyone outside your organization, and not to share screenshots, recordings or exports of the interface, during your use and for 5 years afterward.
3. No copying or competing
You agree not to, and not to help anyone else to: (a) copy, reproduce, imitate or create derivative works of the Software or any part of its design or workflows; (b) reverse-engineer, decompile, scrape or attempt to extract its source code or data structure; (c) use the Software, or knowledge gained from it, to design, build, fund or advise on a product or service that competes with ALFIntake; (d) resell, sublicense or give access to anyone not authorized by us.
4. Enforcement
You acknowledge that a breach of sections 2 or 3 would cause us irreparable harm. We may immediately suspend or terminate your access and seek injunctive relief, damages, disgorgement of profits, and recovery of our attorneys' fees and costs, in addition to any other remedy available by law.
5. Monitoring
Activity in the Software is logged (sign-ins, pages visited, changes made) for security and compliance, and these records may be used as evidence of any breach of this agreement.
6. Patient information
You must handle all patient information in line with HIPAA and your organization's policies, and use it only for authorized care and admissions work.
7. Acceptance
By checking "I agree" and creating an account, you accept these terms electronically, with the same effect as a handwritten signature. We record the date, time, version and device of your acceptance. These terms are governed by the laws of the State of California.
